These Terms of Use (“Terms”) govern your access to and use of the Zugo mobile application, website, and related services (collectively, the “Services”) operated by ZUGO LLC (“Zugo,” “we,” “us,” or “our”). By accessing or using the Services, creating an account, or completing a purchase, you agree to be bound by these Terms. If you do not agree, you may not use the Services.1. Eligibility
You must be at least 18 years old to use the Services. By using Zugo, you represent and warrant that you meet this requirement. The Services are currently intended for users located in the United States only.2. Account Registration & Responsibilities
You may be required to create an account to access certain features. You agree to:
- Provide accurate and complete information
- Maintain the security of your account credentials
- Accept responsibility for all activity that occurs under your account
- Zugo is not responsible for unauthorized access resulting from your failure to safeguard your credentials.3. Description of Services
Zugo provides informational tools related to nightlife venues, which may include:
- Live video feeds showing general line length and venue activity
- Access to digital passes, promotions, or other venue-specific offerings
- Business tools for authorized venue operators and staff
- Zugo does not own, operate, or control venues listed on the platform.4. Live Feeds, Cameras & Use Limitations
Zugo may display live or near-real-time video feeds from participating venues. You acknowledge and agree that:
- Camera feeds are provided solely for informational purposes, such as assessing general line length, crowd density, or venue activity
- The feeds are not intended to identify individuals
- Zugo does not use facial recognition, biometric analysis, or individual-level tracking
- Zugo does not sell, license, or commercially exploit any individual’s likeness
- Any appearance of individuals in a feed is incidental and unintentional
- Feeds may be delayed, unavailable, interrupted, or inaccurate
- Zugo makes no guarantees regarding accuracy, availability, or completeness of any live feed.
- Users agree not to record, screenshot, reproduce, redistribute, or publicly display any live feed without authorization.5. Passes, Entry & Venue Decisions
Zugo may offer access to digital passes or similar features that relate to venue access. You acknowledge that:
- Passes do not guarantee entry
- All entry decisions are made solely by the venue
- Venues may deny access for any lawful reason, including capacity, safety, or policy enforcement
- Zugo is not responsible for venue decisions, staff conduct, or on-site conditions.6. Payments & Purchases
Payments may be processed through third-party payment providers, including Stripe and Apple Pay. Zugo does not store your payment card information.Refunds
Purchases are non-refundable, except where Zugo has made an error (e.g., incorrect date, incorrect validity period). Refunds required by applicable law will be honored.Expiration
Passes expire at the next 6:00 AM following issuance, unless otherwise stated7. Promotions & Credits (Business Use)
Promotional credits or offers:
- Have no cash value
- Are issued only to businesses and authorized personnel
-May be revoked at any time
- Are subject to change without notice8. Prohibited Conduct
You agree not to:
- Misuse the Services or interfere with platform operations
- Share or resell passes fraudulently
- Abuse venue staff or Zugo personnel
- Attempt to reverse engineer or exploit the Services
- Use camera feeds for surveillance, identification, or harassment
- Zugo may suspend or terminate accounts for violations at its discretion.9. Intellectual Property
All intellectual property related to the Services, including trademarks, software, and content, is owned by or licensed to Zugo. You are granted a limited, non-exclusive, non-transferable license to use the Services for personal, lawful purposes.10. Third-Party Services
The Services may integrate with or link to third-party services. Zugo is not responsible for third-party content, policies, or practices.
Your use of third-party services is governed by their respective terms.11. Disclaimer of Warranties
The Services are provided “as is” and “as available”. Zugo disclaims all warranties, express or implied, including warranties of accuracy, reliability, fitness for a particular purpose, and uninterrupted availability.12. Limitation of Liability
To the maximum extent permitted by law, Zugo shall not be liable for:
- Personal injury, property damage, or lost items
- Venue conduct or alcohol-related incidents
- Denied entry or venue decisions
- Reliance on live feeds or informational contentZugo’s total liability shall not exceed the amount you paid to Zugo in the twelve (12) months preceding the claim.13. Indemnification
You agree to indemnify and hold harmless Zugo and its affiliates from any claims arising out of:
- Your use of the Services
- Your violation of these Terms
- Your interaction with venues or other users14. Termination
Zugo may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms.15. Arbitration & Class Action Waiver
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration, conducted on an individual basis.
You waive the right to participate in any class action or representative proceeding.16. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.17. Changes to Terms

1. Overview
Line Passes purchased through the Zugo app are digital access passes that allow users to enter a venue’s designated line or expedited entry lane, subject to the venue’s policies and capacity. All Line Pass purchases are final and non-refundable, except as expressly stated below.2. General Refund Policy
All Line Pass sales are: Non-refundable, Non-transferable, Non-exchangeable. This applies regardless of: Changes in personal plans, Late arrival, Long wait times, Weather conditions, Venue crowd levels, Denied entry by venue staff (unless due to a Zugo system error).3. Expiration Policy
All Line Passes expire automatically at the next 6:00 AM local time following the date of purchase (unless otherwise clearly stated at time of purchase). Expired passes cannot be reactivated, refunded, or credited.4. Entry Is Not Guaranteed
Purchasing a Line Pass does not guarantee entry into a venue. Final admission decisions are made solely by the venue, including but not limited to: Capacity limits, Age restrictions, Dress code enforcement, Behavior policies, Safety concerns.
Zugo does not control venue admission decisions and is not responsible for denial of entry based on venue policy.5. Eligible Refund Circumstances
Refunds may be issued only in the following limited cases:
A. Zugo System Error
If: A pass is incorrectly issued, The date or expiration time is wrong, A duplicate charge occurs, The pass fails to generate due to a technical error
B. Venue Error Confirmed by Zugo
If a venue: Incorrectly refuses to honor a valid, unexpired Line Pass or Cancels participation in the program without notice.Zugo may investigate and issue a refund at its sole discretion.6. How to Request a Refund
To request review for a potential refund:
- Submit a refund request within 24 hours of purchase to [email protected]. Include: Your full name, Email associated with the purchase, Venue name, Date of purchase, Screenshot of the pass (if available).
Zugo will review and respond within a reasonable timeframe.7. Chargebacks
Initiating a chargeback without first contacting Zugo may result in: Suspension of account privileges, Removal of access to future Line Pass purchases.
We encourage users to contact support first to resolve issues quickly and fairly.8. Promotional Credits
If Zugo determines a refund is not appropriate, we may, at our discretion, issue promotional credits for future use. Promotional credits: Have no cash value, Cannot be withdrawn, May have expiration dates.9. Payment Processing
Payments are processed securely through Stripe. Refunds, when approved, will be returned to the original payment method used at checkout.
