Privacy Policy

This Privacy Policy explains how ZUGO LLC (“Zugo,” “we,” “our,” or “us”) collects, uses, discloses, stores, and protects information in connection with the Zugo mobile application, website, venue tools, payment flows, digital passes, promotions, visibility features, and related services (collectively, the “Service”).Zugo is currently intended for use in the United States only. By using the Service, you acknowledge that your information will be handled as described in this Privacy Policy. If you do not agree with this Privacy Policy, you should not use the Service.1. Age Restrictions
Zugo is not intended for users under 18 years old. Certain venues, events, passes, cover-related offerings, promotions, or services may be restricted to individuals who are 21 years of age or older, or the applicable legal age required by law, venue policy, or event policy. Zugo does not replace venue ID checks, age verification, security screening, dress codes, capacity restrictions, or a venue’s right to refuse entry. Venues remain responsible for enforcing their own entry requirements and applicable legal obligations. We do not knowingly collect personal information from individuals under 18. If we learn that we have collected personal information from a minor in violation of this Privacy Policy, we may take steps to delete the information and/or disable the account.
2. Information We Collect
The information we collect depends on how you use the Service. We may collect information directly from you, automatically when you use the Service, and from third-party service providers, venues, or platform partners.
A. Account and Login Information
When you create or use a Zugo account, we may collect information such as your name, email address, account identifiers, login information, account type, authentication provider, and related account activity. Zugo does not currently support anonymous login. Users may create standard accounts. Certain venue portal features are available only to accounts authorized by verified venues or approved by Zugo. If you sign in using a third-party login provider, we may receive information made available by that provider, such as your name, email address, and login identifier. Your use of third-party login providers is also subject to their own privacy policies and terms.
B. Venue and Venue Admin Information
If you are a venue owner, venue employee, venue operator, or authorized venue administrator, we may collect and store information related to your venue and your use of venue tools. This may include venue profile information, venue location information, promotional content, venue images, admin permissions, operational settings, and information needed to manage venue listings, promotions, passes, and related features. Only verified or authorized venue admins may upload promotions or change venue profile content. Venue-uploaded content may be visible to users of the Service.
C. Pass, Purchase, Payment, and Transaction Information
When users purchase, reserve, receive, redeem, or interact with passes or venue offerings, we may collect and store information related to the transaction. This may include pass type, venue information, user information, purchase time, price paid, pass validity period, expiration time, redemption status, barcode or QR code information, digital pass information, payment status, payment processor references, refund information, dispute information, payout information, and related transaction records. Passes are non-transferable unless Zugo expressly states otherwise.
Payments are processed by a third-party payment processor, currently Stripe. Zugo does not store full credit card numbers, debit card numbers, CVV codes, or complete payment credentials on its own systems. Our payment processor may collect and process payment information, billing details, fraud-prevention information, transaction information, device information, and other information needed to provide payment-related services. Zugo may access and store payment status, transaction records, payment processor-generated references, purchase history, refund records, dispute records, payout records, and related information needed to confirm purchases, create and validate passes, process or evaluate refunds, handle disputes or chargebacks, reconcile venue payouts, prevent fraud or abuse, and maintain accounting, tax, compliance, and legal records.D. Selected Location and Map Information
Zugo does not currently collect continuous live location or background device location.
Users may select a location, venue area, or map-based location through map-powered features. We may use selected location information, place information, coordinates, geohash information, or related location data to show relevant venues, organize venues by area, display map-based results, send location-relevant venue alerts, and improve location-based app functionality. Zugo does not currently use background location tracking. If device-level location permission is requested in the future, users may manage that permission through their device settings.
E. Usage, Analytics, Device, and Diagnostic Information
We and our service providers may automatically collect technical and usage information when you use the Service. This may include device information, operating system information, app version, IP address, timestamps, app interactions, feature usage, diagnostic information, crash reports, performance information, security signals, device messaging tokens, delivery information for alerts you choose to receive, and other technical logs.
Zugo uses third-party cloud, analytics, authentication, database, storage, messaging, security, map, performance, and diagnostic services, including Firebase and Google Cloud services, to operate, secure, monitor, analyze, and improve the Service. Zugo uses analytics for general product analytics, app improvement, and performance understanding. Zugo does not use analytics for third-party ad retargeting or cross-app behavioral advertising.F. Venue-Uploaded Content
Verified venue admins may upload or submit content such as promotions, venue descriptions, venue profile information, venue images, promotional images, event information, specials, or marketing content. Venue-uploaded content may be displayed publicly within the Service. Zugo does not currently offer user ratings, public comments, direct user messaging, or user-uploaded public posts.
G. Support and Communications
If you contact Zugo for support, questions, feedback, refunds, disputes, account issues, or other requests, we may collect information such as your name, email address, message content, attachments you provide, support history, and transaction, pass, or account information related to your request. We use this information to respond to you, investigate issues, provide support, and maintain records.
H. Live-Line Visibility and Video Streams
Zugo may provide access to live-line visibility features showing venue exterior areas, entry lines, or other venue-controlled public or commercial areas. Streams may be operated by venues and hosted through third-party video platforms, such as YouTube, or similar services. Venues may use venue-controlled cameras or other venue-controlled equipment. Zugo does not currently record or store live-line video. Zugo does not currently use audio recording for live-line visibility. Zugo does not use facial recognition, biometric identification, or AI crowd analysis. Cameras are intended to show exterior venue areas and entry lines. However, individuals near a venue may be incidentally visible in a stream. Venues are responsible for camera placement, camera operation, signage, notices, and compliance with applicable laws, venue policies, and third-party platform requirements.
I. Information From Third Parties
We may receive information from third parties and service providers that help us operate the Service, including authentication providers, payment processors, venues, venue administrators, app stores, cloud service providers, analytics providers, maps providers, and technical infrastructure providers.
We may combine information received from third parties with information we collect directly through the Service where reasonably necessary to operate, secure, support, or improve the Service.
3. How We Use Information
We may use information to:
- Provide, operate, maintain, and improve the Service;
- Create and manage user accounts;
- Authenticate users;
- Manage venue admin access;
- Display venues, promotions, events, and venue information;
- Process purchases and transactions;
- Generate, manage, validate, redeem, and expire passes;
- Support digital pass functionality;
- Send venue alerts or communications you choose to receive;
- Show location-relevant venue content based on selected location;
- Provide customer support;
- Investigate refunds, disputes, chargebacks, and payment issues;
- Detect, prevent, and respond to fraud, abuse, unauthorized access, technical issues, and security incidents;
- Improve app performance, design, reliability, and functionality;
- Analyze general product usage;
- Maintain business, accounting, tax, compliance, security, and legal records;
- Enforce our Terms of Use, Refund Policy, and other policies;
- Protect the rights, safety, and property of Zugo, users, venues, and others;
- Comply with legal obligations.
We may also use aggregated or de-identified information for analytics, product improvement, business planning, investor reporting, operational reporting, and market insights. Aggregated or de-identified information does not identify a specific individual.4. How We Disclose Information
We do not sell personal information. We do not use personal information for third-party ad retargeting or cross-app behavioral advertising. We may disclose information in the following circumstances:
A. Service Providers
We may disclose information to service providers that help us operate, secure, host, analyze, improve, and support the Service. These may include providers for cloud hosting, authentication, database storage, file storage, payment processing, maps, analytics, diagnostics, security, messaging, alert delivery, video streaming, app distribution, and customer support. These providers may process information according to their own terms and privacy policies.
B. Payment Processors
Payment and transaction information may be disclosed to our third-party payment processor, currently Stripe, to process payments, detect fraud, manage refunds, handle disputes, and support payment-related services. Zugo may receive and store transaction records, payment status, and payment processor-generated references, but does not store full card numbers or CVV codes on its own systems.
C. Venues and Venue Administrators
When you purchase, redeem, or interact with a venue-related pass or offering, we may disclose relevant information to that venue or its authorized administrators. This may include information reasonably necessary to validate, manage, reconcile, or support the transaction, such as name, purchase time, pass type, price paid, redemption status, barcode or QR code information, digital pass information, refund or dispute status, and related validation information. On venue-facing devices, Zugo currently limits visible information to information such as name, timestamp, and pass status, where practical. Additional payment, validation, and reconciliation information may be stored in Zugo systems for operational, security, accounting, reconciliation, refund, or dispute purposes.
D. Legal, Safety, and Security Reasons
We may disclose information if we believe it is reasonably necessary to comply with law, regulation, legal process, subpoena, court order, or government request; enforce our Terms of Use, Refund Policy, or other policies; investigate fraud, abuse, unauthorized access, payment disputes, chargebacks, or security incidents; protect the rights, safety, property, or security of Zugo, users, venues, or others; prevent harm, illegal activity, or misuse of the Service; or maintain accounting, tax, compliance, or business records.
E. Business Transfers
If Zugo is involved in a merger, acquisition, financing, sale of assets, restructuring, bankruptcy, or similar transaction, information may be transferred or disclosed as part of that transaction, including during due diligence or negotiations related to the transaction.
F. With Your Consent
We may disclose information with your consent or at your direction.
5. Third-Party Services
The Service may include links, embedded content, or integrations with third-party services, including payment processors, cloud service providers, authentication providers, map providers, app stores, digital pass providers, messaging and alert delivery providers, video platforms, venue-operated streaming systems, navigation services, rideshare services, websites, or other third-party services. Your use of third-party services may be subject to their own privacy policies, terms, and data practices. Zugo is not responsible for the privacy practices of third-party services that it does not control.
6. User Choices and Controls
You may choose the location or venue area you want to view in the app. Zugo may use that selected location to show relevant venues and send relevant venue alerts.
You may manage applicable app permissions and alert settings through your device settings.
7. Account Deletion and Data Requests
Zugo provides functionality for users to delete their account. Deleting your account removes your active user account and profile information from the Service. However, Zugo may retain certain information where reasonably necessary or legally permitted, including purchase records, pass records, payment references, refund records, dispute or chargeback records, redemption records, security logs, fraud-prevention records, accounting and tax records, legal and compliance records, and records needed to enforce our Terms of Use, Refund Policy, or other policies. This means that even after account deletion, certain purchase-related records may continue to include information such as your name, email address, account identifier, purchase time, pass details, payment references, and redemption information if needed for legal, financial, operational, security, refund, dispute, fraud-prevention, accounting, tax, or compliance purposes.

We retain information for as long as reasonably necessary to provide the Service, operate our business, comply with legal obligations, resolve disputes, process refunds, handle chargebacks, prevent fraud, enforce agreements, and maintain accurate business records. Retention periods vary depending on the type of information. When information is no longer needed, we may delete, anonymize, or aggregate it.
9. Data Security
We use reasonable administrative, technical, and organizational safeguards designed to protect information from unauthorized access, loss, misuse, alteration, or disclosure. However, no system, network, database, app, or transmission over the internet can be guaranteed to be completely secure.
10. Refunds, Disputes, and Chargebacks
Zugo may retain records related to refund requests, approved refunds, denied refunds, payment processor refunds, payment disputes, chargebacks, pass creation issues, venue payout adjustments, and related support communications.
These records may be retained even after account deletion where reasonably necessary for legal, financial, operational, fraud-prevention, dispute-resolution, accounting, tax, or compliance purposes.

11. Public and Commercial Venue Environments
Zugo may display or facilitate access to information about public or commercial venue environments, including venue listings, promotions, line visibility, and exterior venue activity. Live-line visibility features are intended to provide general venue and line information. They are not intended to identify, track, profile, or monitor specific individuals. Individuals near venue entrances, exterior areas, or entry lines may be incidentally visible in venue-operated streams. Venues are responsible for appropriate signage, camera placement, and compliance with applicable laws.
12. Your Privacy Rights
Depending on where you live, you may have privacy rights under applicable law, including the right to request access to personal information we maintain about you, request correction of inaccurate information, request deletion of certain information, withdraw consent where processing is based on consent, opt out of certain uses where applicable, or request information about how your information is used or disclosed. We may need to verify your identity before fulfilling a request. We may deny or limit requests where permitted by law, including where information must be retained for legal, financial, security, fraud-prevention, dispute-resolution, accounting, tax, compliance, or operational reasons.13. United States Use Only
Zugo is currently intended for users and venues located in the United States. If you access the Service from outside the United States, you understand that your information may be processed and stored in the United States or other locations where our service providers operate.
14. Changes to This Privacy Policy
We may update this Privacy Policy from time to time. If we make changes, we will update the “Last Updated” date above. If changes are material, we may provide additional notice through the app, website, email, or other reasonable means. Your continued use of the Service after an updated Privacy Policy becomes effective means you acknowledge the updated Privacy Policy.

IMPORTANT NOTICE: THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. THEY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING CLAIMS IN COURT, YOUR RIGHT TO A JURY TRIAL, AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. PLEASE REVIEW SECTION 22 CAREFULLY.These Terms of Use (“Terms”) govern your access to and use of the Zugo mobile application, website, venue tools, digital passes, promotional features, live-line visibility features, and related services (collectively, the “Service”) operated by ZUGO LLC (“Zugo,” “we,” “us,” or “our”).By accessing or using the Service, creating an account, submitting venue content, accessing venue tools, purchasing or redeeming a pass, or otherwise using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.If you use the Service on behalf of a company, venue, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you personally and the entity you represent.1. Eligibility
You must be at least 18 years old to use the Service. Certain venues, events, passes, promotions, cover-related offerings, or services may be restricted to individuals who are 21 years of age or older, or the applicable legal age required by law, venue policy, or event policy. By using the Service, you represent and warrant that:
- You are at least 18 years old;
- You are legally permitted to use the Service;
- You will comply with all applicable laws, rules, regulations, and venue policies;
- You will not use the Service to bypass age restrictions, identification checks, security screening, venue rules, or applicable law.
- Zugo is currently intended for use in the United States only.
2. Changes to These Terms
We may update these Terms from time to time. If we make changes, we will update the “Last Updated” date above. If changes are material, we may provide notice through the Service, by email, or by other reasonable means. Your continued use of the Service after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
3. The Service
Zugo provides tools related to nightlife venues, venue discovery, venue promotions, line visibility, digital passes, cover-related offerings, and business tools for authorized venue operators and staff. The Service may include features such as:
- Venue listings and venue information;
- Venue promotions, specials, and events;
- Selected-location venue discovery;
- Live-line visibility or venue activity information;
- Digital passes, including line-related and cover-related passes;
- Venue-admin tools for authorized venue operators;
- Business promotional tools for venues;
- Payment, pass redemption, and related transaction features.
Zugo does not own, operate, control, or manage the venues listed on the Service. Venues are independent third parties. Zugo is not responsible for venue operations, venue staff, entry decisions, security decisions, age verification, capacity limits, dress codes, on-site conditions, venue closures, event changes, alcohol service, guest conduct, transportation, lost items, injuries, or any other venue-related matter except to the limited extent expressly stated in these Terms.4. Account Registration and Responsibilities
You may be required to create an account to access certain features of the Service. You agree to:
- Provide accurate, current, and complete information;
- Keep your account information updated;
- Maintain the confidentiality and security of your login credentials;
- Not share, sell, transfer, or assign your account without our written permission;
- Accept responsibility for all activity that occurs under your account;
- Notify us promptly if you believe your account has been compromised.
You may not create an account using false information, impersonate another person, create an account for someone else without authorization, use another user’s account, create multiple accounts to abuse the Service, or misrepresent your identity, age, venue affiliation, or authority. Zugo is not responsible for losses or damages arising from unauthorized account activity resulting from your failure to safeguard your account credentials. We may suspend, restrict, deactivate, or terminate your account at any time if we believe you have violated these Terms, created risk for Zugo, venues, users, or others, engaged in fraud or abuse, or used the Service in a manner inconsistent with these Terms.5. Venue Admin Accounts and Business Use
Certain features of the Service are available only to verified venues, authorized venue owners, venue employees, venue operators, or approved venue administrators. If you access or use venue tools, you represent and warrant that:
- You are authorized to act on behalf of the applicable venue;
- You have all rights and permissions needed to submit venue content, promotions, images, pricing, and venue information;
- All venue information, promotions, prices, restrictions, hours, event details, and descriptions you provide are accurate and not misleading;
- You will promptly update inaccurate or outdated venue information;
- You will comply with all laws, rules, regulations, venue policies, platform rules, and third-party requirements applicable to your use of the Service;
- You will not post illegal, misleading, deceptive, infringing, unsafe, discriminatory, harassing, or inappropriate content;
- You will not use the Service to promote illegal activity or to target users in a manner prohibited by law.
Zugo may approve, deny, restrict, suspend, or revoke venue admin access at any time. Zugo may also remove or modify venue content, promotions, images, listings, or other materials if we believe they violate these Terms, create risk, are inaccurate, or may harm Zugo, users, venues, or others. Venue admins are responsible for their venue’s use of the Service, including any promotions, listings, passes, pricing, availability, livestream setup, camera placement, signage, staff training, redemption procedures, and honoring of valid offers, subject to lawful venue discretion, safety, capacity, and compliance requirements.6. Venue Content and License to Zugo
The Service may allow venues or authorized venue admins to submit, upload, or provide content, including venue names, descriptions, logos, images, promotions, events, specials, hours, pricing, and other materials (“Venue Content”). You retain any rights you have in Venue Content. By submitting Venue Content to Zugo, you grant Zugo a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, publish, distribute, modify for formatting, create derivative works for display or promotional purposes, and otherwise use the Venue Content to operate, market, promote, improve, and provide the Service.
You represent and warrant that:
- You own or have the necessary rights to submit and authorize Zugo to use the Venue Content;
- The Venue Content does not infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights of any person or entity;
- The Venue Content is accurate and not misleading;
- The Venue Content complies with applicable law and these Terms.
Zugo is not responsible for Venue Content submitted by venues or venue admins. We may review, remove, edit, disable, or restrict Venue Content at any time, but we are not obligated to monitor all Venue Content.7. User Feedback
If you provide feedback, suggestions, ideas, comments, or recommendations about the Service, you grant Zugo the right to use that feedback without restriction and without compensation to you. Zugo may use feedback for any purpose, including improving the Service, developing new features, marketing, and business planning.
8. Passes, Cover, Entry, and Venue Decisions
Zugo may offer or facilitate digital passes, including line-related passes, cover-related passes, promotional passes, or similar venue-specific offerings. A Line Pass may provide priority access, expedited line access, or another line-related benefit at a participating venue, as described at the time of purchase. A Cover-related pass may relate to a venue’s cover charge or admission-related offering, as described at the time of purchase. Unless expressly stated at the time of purchase:
- Passes do not guarantee entry;
- Passes do not guarantee admission at any specific time;
- Passes do not guarantee that a venue will have capacity;
- Passes do not override age restrictions, identification requirements, security decisions, dress codes, capacity limits, venue policies, event policies, legal requirements, or staff discretion;
- Passes do not guarantee any specific wait time, experience, crowd size, atmosphere, event access, table access, drink access, or service level;
- Cover is not included with a Line Pass unless expressly stated;
- A Line Pass is not the same as a cover payment unless expressly stated.
All entry decisions are made solely by the venue. A venue may deny entry or remove a person for lawful reasons, including but not limited to age, lack of valid identification, intoxication, suspected intoxication, behavior, dress code, safety concerns, capacity, event restrictions, venue policy, government order, or staff discretion. Zugo is not responsible for denied entry, venue decisions, venue staff conduct, on-site conditions, wait times, event changes, venue closures, capacity limits, safety decisions, or any other venue-controlled matter.9. Pass Redemption, Expiration, and Restrictions
Passes are valid only for the venue, date, time, service day, pass type, and terms stated at or after purchase. Unless otherwise stated:
- Passes and covers are single-use;
- Passes and covers are non-transferable;
- Passes and covers are not redeemable for cash;
- Passes and covers may not be copied, altered, resold, transferred, duplicated, or used for commercial purposes;
- Passes and covers must be presented to venue staff in the manner required by the venue or Zugo;
- Redeemed, expired, cancelled, voided, or invalid passes and covers have no cash value;
- Passes and covers expire at the next 6:00 AM based on the applicable venue or service-day rules unless otherwise stated.
You are responsible for checking all pass details before purchase, including venue, pass type, date, price, expiration, restrictions, and whether cover is included. Zugo and venues may refuse, cancel, void, or disable any pass suspected of fraud, abuse, tampering, unauthorized resale, unauthorized transfer, duplication, chargeback abuse, payment failure, security risk, or violation of these Terms.10. Payments, Pricing, Fees, and Order Acceptance
Purchases made through the Service may be processed by third-party payment providers. By making a purchase, you agree to pay all amounts shown or disclosed at checkout, including the purchase price, service fees, processing fees, taxes, and any other applicable charges. Prices, fees, availability, pass quantities, promotions, and offers may change at any time before purchase. Zugo and venues may limit quantities, reject transactions, or cancel purchases at any time where permitted by law, including in cases of suspected fraud, abuse, pricing errors, technical errors, payment issues, or violation of these Terms. We make reasonable efforts to display accurate pricing and availability, but errors may occur. If a pricing, availability, description, or technical error occurs, Zugo may correct the error, cancel the transaction, issue a refund where appropriate, or take other reasonable action.
You agree to provide current, complete, and accurate payment and account information for all purchases. You are responsible for any charges, fees, failed payments, chargebacks, disputes, taxes, or other amounts arising from your purchases or account activity.
Zugo does not store full payment card numbers or CVV codes on its own systems. Payment processing is handled by third-party payment providers, and your use of those payment services may be subject to their terms and privacy policies.
11. Refunds
All purchases are final and non-refundable except as expressly stated in these Terms, in Zugo’s Refund Policy, at the time of purchase, or as required by applicable law. Unless required by law or approved by Zugo in its discretion, refunds will generally not be provided for:
- Failure to redeem a pass before expiration;
- Denied entry due to age, lack of valid identification, intoxication, behavior, dress code, capacity, safety, venue policy, staff discretion, or legal requirements;
- Change of plans;
- User error;
- Purchase of the wrong venue, wrong pass type, wrong date, or wrong quantity;
- Duplicate purchases unless Zugo determines a technical error occurred;
- Venue wait times or crowd conditions;
- Live-line feed unavailability, delay, or inaccuracy;
- Dissatisfaction with the venue experience;
- Event changes, unless Zugo determines a refund is appropriate or required by law.
Zugo may provide a refund where Zugo determines that Zugo created the wrong pass or caused a material technical error affecting the purchased pass. Service fees, processing fees, and other charges may be non-refundable except where required by law or determined otherwise by Zugo. Refunds, if approved, will generally be issued to the original payment method where possible. Zugo may deny refund requests that appear fraudulent, abusive, duplicative, or inconsistent with these Terms. Additional refund terms may be provided in Zugo’s Refund Policy. If there is a conflict between these Terms and a separate Refund Policy, the more specific refund language will control for refund-related issues unless prohibited by law.12. Promotions, Credits, and Business Promotional Tools
Zugo may offer promotional tools, promotional credits, venue advertising, or similar business-facing features for verified venues or authorized business users. Unless otherwise stated:
- Promotional credits have no cash value;
- Promotional credits are not redeemable for cash;
- Promotional credits may be limited by venue, account, time, location, feature, or campaign;
- Promotional credits may be revoked, modified, suspended, or cancelled where permitted by law;
- Promotional tools may be subject to additional terms, pricing, limits, or approval requirements.
- Venue admins are responsible for ensuring that promotions are accurate, lawful, not misleading, and honored according to their stated terms, subject to lawful venue discretion, safety, capacity, and legal compliance.
Zugo may reject, remove, restrict, or disable promotions that violate these Terms, create risk, appear misleading, or may harm Zugo, users, venues, or others.13. Live-Line Visibility, Camera Feeds, and Venue Activity Information
Zugo may display or provide access to live, delayed, or near-real-time venue visibility features, including exterior line views, general venue activity, or other venue-controlled public or commercial areas. You acknowledge and agree that:
- Live-line visibility features are provided for general informational purposes only;
- Feeds may be delayed, inaccurate, interrupted, unavailable, disabled, removed, or incomplete;
- Feeds do not guarantee actual line length, wait time, crowd size, venue capacity, entry, safety, or venue conditions;
- Zugo does not guarantee the accuracy, availability, reliability, or completeness of any feed or venue activity information;
- Zugo does not own or control all cameras, venue systems, streaming systems, networks, or third-party platforms used to provide feeds;
- Venues are responsible for camera placement, operation, signage, notices, and compliance with applicable laws;
- Individuals may be incidentally visible in public or commercial venue areas.

Zugo does not use live-line visibility features for facial recognition, biometric identification, or individual-level tracking. You may not record, screenshot, scrape, copy, reproduce, redistribute, publicly display, sell, exploit, or use any live feed or venue visibility feature without authorization. You may not use live feeds or venue activity information to identify, track, monitor, harass, target, shame, intimidate, or surveil any person. You should not rely on Zugo or any live-line visibility feature for emergency, safety, legal, medical, transportation, security, or time-sensitive decisions. Zugo is not an emergency service, safety service, security service, law enforcement service, or transportation service.14. Third-Party Services and Platforms
The Service may include links, integrations, embedded content, or interactions with third-party services, including payment processors, app stores, authentication providers, map providers, navigation services, rideshare services, video platforms, cloud providers, venue systems, and other third-party websites, apps, platforms, or services. Zugo does not own or control third-party services and is not responsible for their content, availability, accuracy, policies, practices, security, or performance. Your use of third-party services is at your own risk and may be governed by their separate terms and privacy policies. Links or integrations with third-party services do not imply endorsement, sponsorship, or approval by Zugo.
15. App Store Terms
If you download or use the Zugo mobile application through the Apple App Store, Google Play Store, or another app distribution platform, you acknowledge and agree that:
- These Terms are between you and Zugo, not the app store provider;
- The app store provider is not responsible for the Service or its content;
- The app store provider has no obligation to provide maintenance or support for the Service;
- The app store provider is not responsible for claims, losses, liabilities, damages, costs, or expenses arising from the Service, except to the extent required by applicable law;
- You must comply with all applicable app store terms, rules, and policies;
- The app store provider and its subsidiaries may be third-party beneficiaries of these Terms and may have the right to enforce these Terms against you as third-party beneficiaries.
16. Acceptable Use and Prohibited Conduct
You agree not to, and not to help, encourage, or enable anyone else to:
- Use the Service in violation of any law, regulation, venue policy, third-party right, or these Terms;
- Use the Service if you are under 18;
- Use the Service to bypass age restrictions, ID checks, venue rules, security decisions, or legal requirements;
- Provide false, inaccurate, misleading, or incomplete information;
- Impersonate any person or entity;
- Misrepresent your age, identity, venue affiliation, or authority;
- Access or attempt to access venue tools without authorization;
- Share, sell, transfer, or misuse account credentials;
- Create multiple accounts to abuse the Service;
- Purchase, redeem, resell, transfer, copy, alter, tamper with, or misuse passes in an unauthorized manner;
- Engage in payment fraud, chargeback abuse, refund abuse, or unauthorized payment activity;
- Harass, threaten, abuse, harm, intimidate, or mistreat users, venue staff, Zugo personnel, or others;
- Upload or submit illegal, infringing, misleading, deceptive, harmful, offensive, discriminatory, harassing, or inappropriate content;
- Use live-line visibility features for surveillance, identification, harassment, targeting, monitoring, or tracking;
- Record, screenshot, scrape, reproduce, redistribute, sell, or exploit live feeds or Service content without authorization;
- Crawl, scrape, index, harvest, or collect data from the Service using automated means;
- Interfere with, disrupt, overload, damage, or impair the Service;
- Circumvent, disable, or interfere with security, authentication, rate-limiting, payment, or access-control features;
- Reverse engineer, decompile, disassemble, modify, or attempt to derive source code from the Service except where such restrictions are prohibited by law;
- Upload malware, viruses, harmful code, or other materials that may damage or interfere with the Service;
- Use the Service for unauthorized commercial purposes;
- Use the Service in any way not expressly permitted by these Terms.
Zugo may investigate and take any action we deem appropriate, including removing content, cancelling transactions, voiding passes, restricting features, suspending accounts, terminating accounts, notifying venues, withholding payouts where permitted, or cooperating with law enforcement.17. Intellectual Property
The Service, including software, technology, designs, text, graphics, logos, trademarks, service marks, interfaces, features, functionality, content, and all related intellectual property rights, is owned by Zugo or its licensors. Subject to your compliance with these Terms, Zugo grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for lawful personal use or authorized venue business use, as applicable. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, reproduce, publicly display, publicly perform, create derivative works from, or otherwise exploit any part of the Service except as expressly permitted by Zugo in writing.
All rights not expressly granted are reserved by Zugo and its licensors.18. Service Availability, Modifications, and Suspension
Zugo may change, update, suspend, limit, discontinue, or remove any part of the Service at any time, with or without notice. This includes venues, passes, promotions, feeds, features, pricing, availability, account tools, and business tools. Zugo is not liable for any modification, suspension, discontinuation, outage, delay, error, or unavailability of the Service or any part of it. We may restrict or terminate access to the Service where we believe doing so is necessary or appropriate for security, legal, operational, business, compliance, fraud-prevention, safety, or enforcement reasons.
19. Communications and Electronic Notices
By using the Service, you consent to receive communications from Zugo electronically, including through email, in-app messages, push or device alerts, website notices, or other reasonable means. These communications may include account notices, transaction confirmations, pass-related information, support messages, legal notices, policy updates, security alerts, and other Service-related communications. You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law. You are responsible for keeping your contact information accurate and up to date.
20. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUGO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, AND UNINTERRUPTED OPERATION. ZUGO DOES NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
- VENUE INFORMATION, LIVE-LINE INFORMATION, PRICING, AVAILABILITY, PROMOTIONS, OR CONTENT WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE;
- PASSES WILL GUARANTEE ENTRY OR ANY PARTICULAR VENUE EXPERIENCE;
- ERRORS OR DEFECTS WILL BE CORRECTED;
- THE SERVICE WILL MEET YOUR EXPECTATIONS OR REQUIREMENTS;
- THIRD-PARTY SERVICES OR VENUE SYSTEMS WILL FUNCTION PROPERLY.
YOU USE THE SERVICE AND RELY ON ANY INFORMATION PROVIDED THROUGH THE SERVICE AT YOUR OWN RISK.Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.21. Limitation of Liability and Assumption of Risk
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUGO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SERVICE PROVIDERS, LICENSORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE. - Denied entry or venue admission decisions;
- Venue policies, staff conduct, security decisions, or on-site conditions;
- Age verification, ID checks, dress codes, or capacity restrictions;
- Alcohol-related conduct, intoxication, or related incidents;
- Personal injury, property damage, lost items, theft, or disputes occurring at or near venues;
- Transportation, rideshare, walking, parking, or travel decisions;
- Venue closures, event changes, cancellations, or inaccurate venue information;
- Live-line feed delays, inaccuracies, outages, or unavailability;
- Third-party services, payment providers, streaming platforms, app stores, map providers, or venue systems;
- Unauthorized access to your account resulting from your failure to safeguard your credentials;
- User, venue, or third-party conduct.
YOU ACKNOWLEDGE THAT NIGHTLIFE VENUES, PUBLIC AREAS, LINES, EVENTS, TRAVEL, TRANSPORTATION, AND CROWDED ENVIRONMENTS MAY INVOLVE RISKS, INCLUDING PERSONAL INJURY, PROPERTY LOSS, THEFT, CONFRONTATIONS, INTOXICATION-RELATED INCIDENTS, CAPACITY LIMITS, AND OTHER UNEXPECTED CONDITIONS. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH YOUR DECISION TO VISIT, ENTER, WAIT IN LINE FOR, PURCHASE FROM, OR OTHERWISE INTERACT WITH ANY VENUE OR THIRD PARTY.TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUGO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ZUGO FOR THE TRANSACTION GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100).The limitations in this section apply regardless of the legal theory, whether based on warranty, contract, statute, tort, negligence, strict liability, or otherwise, and even if Zugo has been advised of the possibility of such damages.Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.22. Dispute Resolution, Binding Arbitration, and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR LEGAL RIGHTS.
A. Informal Dispute Resolution
Before filing a lawsuit or arbitration, you and Zugo agree to first try to resolve any dispute informally.
To begin informal dispute resolution, the party raising the dispute must send a written notice describing the dispute, the relief requested, and contact information for the party. Notices to Zugo must be sent to [email protected] with the subject line “Legal Dispute Notice.”
The parties agree to engage in good faith efforts to resolve the dispute for at least thirty (30) days after the notice is received. This informal dispute resolution process is a condition precedent to initiating arbitration or litigation, except for claims that qualify for small claims court or claims seeking emergency injunctive relief.
B. Agreement to Arbitrate
Except as provided below, you and Zugo agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, any purchase, any pass, any venue interaction through the Service, or any relationship between you and Zugo will be resolved by binding individual arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act and is intended to be interpreted broadly. The arbitration will be administered by National Arbitration and Mediation (“NAM”) under its applicable rules and procedures for consumer disputes, except as modified by these Terms. If NAM is unavailable or unwilling to administer the arbitration, the parties will select another arbitration provider by agreement, or a court of competent jurisdiction will appoint one.
C. Arbitration Procedures
The arbitration will be conducted by a single neutral arbitrator.
Unless the arbitrator determines otherwise, arbitration may be conducted remotely by video, telephone, or written submissions. If an in-person hearing is required, it will take place in the county where you reside or another location agreed by the parties or ordered by the arbitrator. The arbitrator may award the same individual relief that a court could award, subject to these Terms. The arbitrator’s award may be entered in any court of competent jurisdiction. Each party is responsible for its own attorneys’ fees unless applicable law or the arbitration rules provide otherwise.
D. Small Claims Court
Either party may bring an individual claim in small claims court if the claim qualifies and remains in small claims court.
E. Injunctive and Intellectual Property Claims
Either party may bring claims in court for temporary or preliminary injunctive relief to prevent actual or threatened misuse of intellectual property, unauthorized access, security breaches, or other irreparable harm. Either party may also bring claims related to infringement or misappropriation of intellectual property rights in court.
F. Class Action and Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ZUGO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND ZUGO WAIVE ANY RIGHT TO A JURY TRIAL.
The arbitrator may not consolidate more than one person’s claims and may not preside over any class, collective, consolidated, private attorney general, or representative proceeding unless Zugo expressly agrees in writing. If a court determines that the class action waiver is unenforceable as to a particular claim or request for relief, that claim or request for relief may proceed in court, but it will be severed and stayed pending arbitration of the remaining claims to the extent permitted by law.G. 30-Day Right to Opt Out
You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days after you first accept these Terms. Your opt-out notice must include your name, email address associated with your account, and a clear statement that you want to opt out of the arbitration agreement. If you opt out, neither you nor Zugo will be bound by this arbitration agreement, but the rest of these Terms will continue to apply.
23. Indemnification
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Zugo and its officers, directors, employees, contractors, agents, affiliates, service providers, licensors, successors, and assigns from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your access to or use of the Service;
- Your violation of these Terms;
- Your violation of applicable law or third-party rights;
- Your account activity;
- Your purchases, pass use, pass redemption, or attempted redemption;
- Your interaction with any venue, venue staff, user, or third party;
- Your Venue Content or other content you submit;
- Your misuse of live-line visibility features;
- Your fraud, misconduct, negligence, or wrongful acts.
Zugo reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate with Zugo’s defense of such claims.This section does not require you to indemnify Zugo for conduct where indemnification is prohibited by applicable law.

24. Termination
You may stop using the Service at any time. Zugo may suspend, restrict, deactivate, or terminate your access to the Service at any time, with or without notice, if we believe:
- You violated these Terms;
- You created risk or potential legal exposure for Zugo, venues, users, or others;
- Your account was used for fraud, abuse, unauthorized access, or misconduct;
- Your use of the Service could harm the Service, Zugo, venues, users, or third parties;
- We are required or permitted to do so by law;
- We discontinue or materially change the Service.
Termination does not relieve you of obligations incurred before termination, including payment obligations, indemnification obligations, and obligations related to disputes, refunds, chargebacks, or misuse of the Service. Sections that by their nature should survive termination will survive, including sections related to intellectual property, payments, refunds, disclaimers, limitation of liability, arbitration, indemnification, data retention, and general legal terms.25. Governing Law
These Terms and any dispute not subject to arbitration will be governed by the laws of the State of Delaware, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs the arbitration agreement in Section 22. Subject to Section 22, you and Zugo agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising out of or relating to these Terms or the Service.
26. General Legal Terms
A. Entire Agreement
These Terms, together with the Privacy Policy, Refund Policy, and any additional terms presented to you for specific features, constitute the entire agreement between you and Zugo regarding the Service.
B. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
C. No Waiver
Zugo’s failure to enforce any provision of these Terms is not a waiver of its right to do so later.
D. Assignment
You may not assign or transfer these Terms or your rights under them without Zugo’s prior written consent. Zugo may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, financing, restructuring, sale of assets, or by operation of law.
E. Force Majeure
Zugo will not be liable for delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, payment processor outages, app store outages, cloud provider outages, venue system failures, power outages, or other events beyond Zugo’s reasonable control.
F. No Partnership
These Terms do not create any partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Zugo.
G. Headings
Headings are for convenience only and do not affect interpretation of these Terms.

Refund Policy

1. Overview
Line Passes purchased through the Zugo app are digital access passes that allow users to enter a venue’s designated line or expedited entry lane, subject to the venue’s policies and capacity. All Line Pass purchases are final and non-refundable, except as expressly stated below.
2. General Refund Policy
All Line Pass sales are: Non-refundable, Non-transferable, Non-exchangeable. This applies regardless of: Changes in personal plans, Late arrival, Long wait times, Weather conditions, Venue crowd levels, Denied entry by venue staff (unless due to a Zugo system error).
3. Expiration Policy
All Line Passes expire automatically at the next 6:00 AM local time following the date of purchase (unless otherwise clearly stated at time of purchase). Expired passes cannot be reactivated, refunded, or credited.
4. Entry Is Not Guaranteed
Purchasing a Line Pass does not guarantee entry into a venue. Final admission decisions are made solely by the venue, including but not limited to: Capacity limits, Age restrictions, Dress code enforcement, Behavior policies, Safety concerns.
Zugo does not control venue admission decisions and is not responsible for denial of entry based on venue policy.
5. Eligible Refund Circumstances
Refunds may be issued only in the following limited cases:
A. Zugo System Error
If: A pass is incorrectly issued, The date or expiration time is wrong, A duplicate charge occurs, The pass fails to generate due to a technical error
B. Venue Error Confirmed by Zugo
If a venue: Incorrectly refuses to honor a valid, unexpired Line Pass or Cancels participation in the program without notice.
Zugo may investigate and issue a refund at its sole discretion.6. How to Request a Refund
To request review for a potential refund:
- Submit a refund request within 24 hours of purchase to [email protected]. Include: Your full name, Email associated with the purchase, Venue name, Date of purchase, Screenshot of the pass (if available).
Zugo will review and respond within a reasonable timeframe.
7. Chargebacks
Initiating a chargeback without first contacting Zugo may result in: Suspension of account privileges, Removal of access to future Line Pass purchases.
We encourage users to contact support first to resolve issues quickly and fairly.
8. Promotional Credits
If Zugo determines a refund is not appropriate, we may, at our discretion, issue promotional credits for future use. Promotional credits: Have no cash value, Cannot be withdrawn, May have expiration dates.
9. Payment Processing
Payments are processed securely through Stripe. Refunds, when approved, will be returned to the original payment method used at checkout.
